1. General Terms

1.1 These Terms of Service ("Agreement") constitute a legal agreement between you and NexChat Technology Pte. Ltd. (registered in Singapore, hereinafter "NexChat", "we", or "Company") regarding your use of NexChat customer service system services.

1.2 Please read this Agreement carefully before registering, accessing, or using NexChat services. By clicking "Agree" or registering an account, you fully accept all terms of this Agreement.

1.3 If you accept this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.

2. Service Description

2.1 NexChat provides cloud-based multilingual customer service system services, including but not limited to:

  • Online instant messaging and customer support features
  • Multi-channel message integration (WhatsApp, Telegram, etc.)
  • Intelligent translation and AI customer service bot services
  • Data analytics and reporting features
  • Team collaboration tools

2.2 Specific features and limitations depend on your chosen subscription plan.

2.3 We reserve the right to modify, suspend, or terminate services (or any part thereof) at any time without notice.

3. Account Registration and Management

3.1 Registration Requirements: You must be at least 18 years old or have reached the age of majority in your jurisdiction to use our services.

3.2 Account Information: You agree to provide accurate, complete, and current registration information and to update it promptly when changes occur.

3.3 Account Security:

  • You are responsible for maintaining the confidentiality of your account password
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized use

3.4 Account Restrictions: Each user or entity may register only one account unless written permission is obtained from us.

4. User Conduct

4.1 When using our services, you agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights or other rights of others
  • Transmit malware, viruses, or destructive code
  • Send spam or unsolicited commercial messages
  • Attempt unauthorized access to systems or other users' data
  • Interfere with or disrupt normal service operations
  • Resell or distribute services without authorization
  • Use services for any illegal, fraudulent, or malicious activities

4.2 Violation of these guidelines may result in account suspension or termination without notice.

5. Payment Terms

5.1 Pricing: Service fees are determined by your chosen subscription plan and are priced in US Dollars (USD).

5.2 Billing Cycle: Subscription fees are prepaid monthly or annually, depending on your chosen billing cycle.

5.3 Auto-Renewal: Subscriptions will automatically renew unless cancelled before the end of the current billing period.

5.4 Refund Policy:

  • 24-hour free trial period with cancellation anytime without payment
  • Paid subscriptions are non-refundable unless required by applicable law
  • Accounts terminated for violation of terms are not eligible for refunds

5.5 Price Changes: We reserve the right to modify prices with 30 days advance notice.

6. Intellectual Property

6.1 NexChat Rights: The service and all its content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by NexChat or its licensors.

6.2 User Content:

  • You retain ownership of content you upload or transmit through the service
  • You grant NexChat a limited license necessary to operate the service
  • You represent and warrant that you have the right to use and authorize use of your content

6.3 Feedback: Any feedback or suggestions you provide become the property of NexChat and may be used without restriction.

7. Data Protection and Privacy

7.1 We process personal data in accordance with our Privacy Policy, which complies with GDPR and Singapore's Personal Data Protection Act (PDPA).

7.2 Data Security: We implement industry-standard security measures to protect your data, including:

  • End-to-end AES-256 encryption
  • Regular security audits and penetration testing
  • Strict access control and authentication
  • ISO 27001 compliant data centers

8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is": Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

8.2 Limitation of Liability:

  • To the maximum extent permitted by applicable law, NexChat shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • Some jurisdictions do not allow exclusion or limitation of liability, so the above limitations may not apply to you

8.3 Indemnification: You agree to defend, indemnify, and hold NexChat harmless from any claims, losses, and expenses arising from your violation of this Agreement or use of the service.

9. Service Level Agreement (SLA)

9.1 Availability Guarantee:

  • Standard Plan: 99.5% monthly availability
  • Professional Plan: 99.9% monthly availability
  • Enterprise Plan: 99.95% monthly availability with dedicated SLA

9.2 Support Response Time:

  • Standard Plan: Response within 24 hours
  • Professional Plan: Response within 4 hours
  • Enterprise Plan: Response within 1 hour, 7×24 support

10. Termination

10.1 User Termination: You may cancel your subscription at any time through account settings or by contacting customer service.

10.2 NexChat Termination: We may terminate or suspend your account for:

  • Violation of terms of service
  • Fraudulent or illegal activities
  • Failure to pay due fees
  • Causing harm to the service or other users

10.3 Effects of Termination:

  • Upon termination, you will lose access to services and data
  • We will delete your data according to our data retention policy
  • Termination does not affect any accrued rights or obligations

11. Governing Law and Dispute Resolution

11.1 Governing Law: This Agreement is governed by the laws of the Republic of Singapore, without regard to its conflict of law principles.

11.2 Dispute Resolution:

  • Parties shall first attempt to resolve disputes through friendly consultation
  • If consultation fails, disputes shall be submitted to the Singapore International Arbitration Centre (SIAC) for arbitration under its rules
  • The place of arbitration shall be Singapore and the language shall be English
  • The arbitral award shall be final and binding on both parties

11.3 Injunctive Relief: Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction.

12. General Provisions

12.1 Entire Agreement: This Agreement constitutes the entire agreement between you and NexChat regarding the service and supersedes all prior agreements.

12.2 Modifications: We reserve the right to modify this Agreement. Changes will be notified via email or in-service notification. Continued use of the service constitutes acceptance of modified terms.

12.3 Severability: If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Force Majeure: Neither party shall be liable for any delay or failure to perform due to causes beyond their reasonable control.

12.5 Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent.

12.6 Notices: All notices will be sent via email to your registered email address or through in-service messages.
